Nonprofits commonly enter into agreements with sponsors, vendors, and even fellow nonprofits. Most of the time everything goes off without a hitch. However, do you know how to protect your nonprofit in the event that something doesn't go as planned? During this workshop, our speaker will help nonprofits understand:

  • What is a contract?
  • Why have a formal written agreement?
  • What should be included in a contract?
  • How can a contract be terminated?
  • Why have warranties and disclaimers?
  • What is an indemnification clause?
  • How can nonprofits establish a contracting process?

Presenter: Jill V. Termini In-House Counsel, United Parcel Service

Jill Termini is in-house counsel for UPS in Atlanta, Georgia. Her main areas of responsibility include legal support for business development, government contracts, security, claims, and service of process. Prior to joining the legal department at UPS, Jill worked in the UPS Public Affairs function at both the regional and federal levels. Jill’s prior role in Public Affairs tasked her with management of several external affairs responsibilities including lobbying federal and state regulators, legislators and executives; interaction with and/or service on boards of several federal and state trade associations; and service as the company liaison for the Supreme Court Historical Society. Jill also spent over a year in UPS operations in many different job functions to develop a better understanding of the core business units of UPS.

Jill currently serves as the co-chair of the Atlanta Corporate Counsel Committee on Career Development. She is also a member of the board of directors of Imagine It! The Atlanta Children’s Museum. Jill has a Bachelor of Arts in International Business from Gettysburg College and graduated cum laude from Suffolk University Law School.
